Rocket Lab Expands Capabilities with Planetary Systems Corporation Acquisition

Rocket Lab is actively expanding its portfolio through strategic acquisitions, most recently announcing a definitive agreement to acquire Planetary Systems Corporation (PSC).

The announcement preceded the release of the company’s third-quarter financial results. Rocket Lab intends to acquire PSC for a total consideration of $42 million in cash, alongside 1,720,841 shares of its common stock. Further stock allocations are possible contingent upon the achievement of specified future performance milestones.

Planetary Systems Corporation: A Leader in Spacecraft Separation

PSC, headquartered in Maryland, specializes in the development of spacecraft separation systems. Its mechanical separation systems and satellite dispensers have been utilized on over 100 successful missions to date.

The company’s flagship product is the “Canisterized Satellite Dispenser,” a crucial system for both safely protecting spacecraft during launch and reliably deploying them into orbit. PSC’s technology has seen integration with a diverse range of launch vehicles.

These include domestically developed rockets from SpaceX and United Launch Alliance, as well as the now-retired NASA Space Shuttle program. Internationally, PSC hardware has been incorporated into launch systems operated by Arianespace and the Japan Aerospace Exploration Agency, among others.

Towards a Vertically Integrated Space Services Model

This acquisition aligns with Rocket Lab’s broader strategy of evolving from a launch provider to a comprehensive, vertically integrated space services company.

The company aims to offer a complete suite of services, encompassing everything from transportation to orbit to the design and manufacture of the spacecraft themselves. Rocket Lab stated that PSC’s product line will be integrated across its Space Systems division, benefiting both its Photon satellite buses and spacecraft component offerings.

Recent Acquisition Activity

This represents Rocket Lab’s third acquisition within the past 18 months, demonstrating a clear commitment to growth through strategic investment.

Just last month, the company finalized the acquisition of Advanced Solutions, Inc., a Colorado-based firm specializing in flight software development for spacecraft. Previously, in the prior year, Rocket Lab acquired Sinclair Interplanetary, a manufacturer of specialized space hardware.

Leadership and Closing Timeline

Following the acquisition, Planetary Systems Corporation will continue to operate under the leadership of its current CEO, Mike Whalen.

The completion of this transaction is currently anticipated during the fourth quarter of the current year.
